Agent Terms & Rewards Program Agreement

These Agent Terms & Rewards Program Terms (the “Agreement”) apply to individuals (“Agents”) who participate in the Vending Village Agent Program, including the use of training materials, the agent CRM, the Leads system, and the Token Rewards Program (“Program”). By participating as an Agent, you agree to these terms.


1. Agent Eligibility & Account Requirements

  1. You must be at least 18 years old and legally able to enter into a contract.
  2. You may maintain only one Agent account. Duplicate or shared accounts are not permitted.
  3. You must provide accurate information and keep your account in good standing.
  4. Your participation is voluntary and may be suspended or terminated at any time in accordance with this Agreement.

2. Agent Responsibilities

  1. You agree to engage leads honestly and professionally.
  2. You may not submit falsified listings, fake leads, fabricated progress updates, or otherwise misrepresent activity to obtain Tokens or other benefits.
  3. You are responsible for the confidentiality of your account and for all actions taken through it.

3. Tokens (Credits) Overview

  1. Agents earn Tokens (also referred to as "Credits”) for completing certain actions or milestones as defined in the Program.
  2. Tokens may be redeemed for cash only after you become a Trusted Seller (achieved by completing your first finalized sale and submitting a review).
  3. Tokens have no cash value until redeemed, and may only be redeemed through the method(s) specified by Vending Village.
  4. Tokens are non-transferable, may not be sold or exchanged, and apply only to the Agent account to which they were issued.

4. Earning Tokens

Agents may earn Tokens for qualifying actions, which may include:

  • Completing training
  • Performing meaningful actions on leads
  • Achieving daily streaks
  • Publishing listings
  • Having listings approved
  • Generating sales
  • Finalizing transactions
  • Reaching volume milestones

The exact rules, amounts, and milestones may change over time.

All Token awards are subject to verification by Vending Village.


5. Meaningful Actions & Activity Verification

  1. A “meaningful action” includes:

    • Working a lead properly (claim → progress update),
    • Adding a unique contact to a lead, or
    • Publishing a listing for PM approval.
  2. Vending Village may review your activity, logs, data, and history to confirm legitimacy.

  3. Only genuine, good-faith activity qualifies. Automated activity, repeated minimal changes, fake contacts, or attempts to artificially trigger rewards are prohibited.


6. Fraud, Abuse & Misconduct

The following behaviors are strictly prohibited:

  • Faking lead activity or fabricating progress
  • Submitting invalid listings or repeated low-effort submissions
  • Creating multiple accounts
  • Coordinating with others to manipulate rewards
  • Attempting to exploit system bugs or loopholes

If fraud or abuse is detected or suspected, Vending Village may:

  • Remove or adjust Tokens
  • Void milestones or streaks
  • Suspend or terminate your Agent account
  • Withhold rewards
  • Reverse transactions
  • Take any additional action deemed necessary

Vending Village’s decision is final.


7. Token Redemption (Trusted Sellers Only)

  1. Upon your first finalized sale, you become a Trusted Seller and may redeem Tokens for cash once the feature capabilities are made available (planned for release in Q1 of 2026).
  2. Redemption requires maintaining a minimum Token balance (e.g., 100 Tokens) for continued lead access.
  3. Redemptions may be subject to identity verification and tax reporting requirements.
  4. Vending Village partners (e.g., Stripe) may collect additional information as required by law.

8. Taxes & Reporting

  1. Token redemptions and cash payouts may be treated as taxable income.
  2. Agents are responsible for reporting income and complying with all applicable tax laws.
  3. Vending Village may issue tax forms as required (e.g., 1099-NEC or T4A), and may withhold rewards until compliance information is provided.

9. Program Changes & Termination

  1. Vending Village may modify, pause, or terminate the Rewards Program at any time.
  2. Token values, earning rules, milestones, redemption requirements, or payout schedules may be adjusted without prior notice.
  3. If the Program is discontinued, Tokens may expire or lose redemption value. No compensation is guaranteed.

10. Data & Activity Monitoring

You authorize Vending Village to track and analyze your actions within the Agent CRM, including lead activity, listings, communications, contact additions, and system interactions, for the purpose of:

  • awarding Tokens,
  • verifying activity,
  • detecting fraud, and
  • improving the program.

11. Limitation of Liability

Vending Village is not liable for:

  • Lost Tokens
  • Technical issues
  • System delays
  • Calculation errors
  • Missed rewards
  • Any damages arising from participation in the Program

Your sole remedy is to discontinue participation.


12. Agreement to All Terms

By continuing to act as a Vending Village Agent, you acknowledge and agree to this Agreement, as well as the general Vending Village Terms of Service.
