Vending Village Affiliate & Referral Program Agreement

This Affiliate & Referral Program Agreement ("Agreement") governs participation in the affiliate marketing and referral programs (collectively, the “Programs”) offered by Vending Village Inc., a Canadian corporation ("Vending Village", "we", "us", or "our").
- By enrolling in either Program, you (“you”, “Affiliate”, or “Participant”) agree to the terms of this Agreement, in addition to our Terms of Service and Privacy Policy.
1. Program Overview
Vending Village offers two distinct Programs:
1.1 Referral Program
Open to the public, this program rewards you for referring new users to Vending Village using a unique referral link. If the referred user completes a transaction (either buying or selling a listing), you receive a one-time commission of $50.
1.2 Recruiter Affiliate Program
Open to approved recruiters, this program allows you to earn recurring commissions for referring new commission-based sales agents to Vending Village. You will earn a percentage of their gross sales for up to one (1) year, as defined in the recruiter onboarding material.
2. Enrolment
To participate, you must:
- Sign up via our affiliate platform at vendingvillage.firstpromoter.com
- Provide accurate and complete information during registration
- Be at least 18 years of age
- Be accepted by Vending Village into the Program at our sole discretion
3. Referral Attribution & Payouts
3.1 Tracking
Referrals are tracked via cookies through your unique affiliate link. Referral credit is valid for up to 60 days after a user first clicks your link.
3.2 Payout Eligibility
You become eligible for payout only after:
- The referred user completes a qualified transaction
- A 45-day holding period has passed (to allow for refund or chargeback windows)
- You reach the minimum payout threshold defined in your affiliate dashboard
3.3 Payment Terms
Payouts are issued monthly to your preferred payment method, as supported by our affiliate platform. You are responsible for any transaction fees, taxes, or reporting obligations in your jurisdiction.
4. Commissions
4.1 Standard Referral Program
- Amount: $50 (one-time)
- Triggered By: First qualified transaction by referred user (buy or sell)
4.2 Recruiter Affiliate Program
- Structure: Recurring commission on gross sales of referred sales agents
- Duration: Up to 12 months per referred agent
- Rate: As defined in your Recruiter Program onboarding agreement
5. Prohibited Activities
Affiliates may not:
- Use deceptive, misleading, or unethical promotional practices
- Engage in spam, unauthorized emailing, or social media mass tagging
- Purchase ads that bid on “Vending Village” trademarks or domain names
- Misrepresent their relationship with Vending Village
Violations may result in termination of participation and forfeiture of commissions.
6. Relationship
Participation in either Program does not create any employment, agency, or joint venture relationship. You are an independent contractor responsible for your own compliance and tax reporting.
7. Termination
Either party may terminate this Agreement at any time, with or without cause. Upon termination:
- No new referrals will be accepted under your account
- Commissions on referrals already earned but not yet paid will be honored (subject to eligibility)
- You must cease all promotional activities representing Vending Village
8. Modifications
We reserve the right to update or modify this Agreement at any time. Continued participation in the Programs after notice constitutes acceptance of changes.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of laws principles.
